Représentée par ____________, agissant en qualité de Président/Directeur Général, dûment habilité aux fins des présentes,

Ci-après dénommée la « Société »  ou « Arvella Investments»,

d’une part,

ET

Les Salariés, consultés par référendum à la majorité des deux tiers, le PV de la consultation étant annexé au présent Accord

Ci-après dénommés les « Salariés»,

ENSEMBLE LES « PARTIES » OU SEPAREMENT LA « PARTIE »

Préambule:

  1. Depuis l'ordonnance no 2017-1385 du 22 sept. 2017 (JO 23 sept), dite "Ordonnance Macron", l'employeur a la faculté de proposer un projet d'accord directement aux salariés dans les entreprises de moins de 11 salariés (articles L. 2232-21 et suivants du Code du travail).

  2. Le projet d'accord doit être approuvé par l'ensemble du personnel à la majorité des deux tiers lors d'une consultation. Il peut porter sur l'ensemble des thèmes ouverts à la négociation collective d'entreprise, y compris sur les conventions individuelles de forfait en jours sur l'année.

  3. Dans ce contexte, la Société a organisé, dans le respect du caractère personnel et secret du vote, une consultation visant à introduire par accord d'entreprise des conventions individuelles de forfait en jours sur l’année pour les Salariés justifiant d’une réelle autonomie dans la détermination de leur emploi du temps (ci-après l'"Accord").

  4. Conformément à l'article R.2232-12, les salariés ont disposé d'un délai de 15 jours avant la tenue de la consultation pour prendre connaissance du projet d'accord et de ses modalités pratiques d'organisation. Lors de cette consultation, les Salariés ont répondu à la question suivante : "Approuvez-vous le projet d'accord sur les conventions individuelles de forfait en jours sur l'année?"

  5. Lors de la consultation, qui s'est tenue le 5 décembre 2018, les Salariés ont approuvé à la majorité des deux tiers le projet d'accord, qui détermine les caractéristiques principales des conventions de forfait en jours sur l'année, en application de l'article L. 3121-64 du Code du travail et garantit la protection de la santé et de la sécurité des salariés, conformément aux exigences jurisprudentielles.

IL A DONC ETE CONCLU CE QUI SUIT :

CHAPITRE 1 — CATEGORIE DE SALARIES CONCERNES

  1. Les conventions individuelles de forfait en jours sur l'année concernent les Salariés relevant de l’article L. 3121-58 du Code du travail.

  2. Il s'applique plus précisément aux (ci-après les « Salariés au forfait jours ») :

  • cadres qui disposent d'une autonomie dans l'organisation de leur emploi du temps et dont la nature des fonctions ne les conduit pas à suivre l'horaire collectif applicable au sein de l'atelier, du service ou de l'équipe auquel ils sont intégrés ;

  • Salariés non cadres dont la durée du temps de travail ne peut être prédéterminée et qui disposent d'une réelle autonomie dans l'organisation de leur emploi du temps pour l'exercice des responsabilités qui leur sont confiées.

  1. Au jour de la signature du présent Accord, les postes éligibles au forfait en jours sont notamment : Investment Associate, Investment Professional, étant précisé que cette liste n'est pas exhaustive et peut s'étendre à tout autre catégorie de salariés existant dans la Société ou qui serait créée et qui répondrait au critère d'autonomie.

  2. L’autonomie dont disposent les Salariés au forfait jours ne les soustrait pas au lien de subordination inhérent à la relation de travail de sorte qu’ils ne peuvent se prévaloir d’une totale indépendance vis-à-vis de leur employeur. En pratique, cela signifie que :

  • les Salariés au forfait jours peuvent par exemple se voir imposer une heure d’arrivée le matin pour les besoins d’une réunion ou d’un rendez-vous professionnels ;

  • plus généralement, les Salariés au forfait jours doivent, en toutes circonstances, adopter un rythme de travail compatible avec le bon fonctionnement de leur service.

CHAPITRE 2 — CARACTERISTIQUES DES CONVENTIONS INDIVIDUELLES DE FORFAIT EN JOURS SUR L’ANNEE

  1. La conclusion d’une convention individuelle de forfait en jours sur l’année requiert l’accord du salarié et fait impérativement l’objet d’un écrit signé par les parties.

  2. Cette convention prend la forme d’une clause dans le contrat de travail initial ou d’un avenant.

  3. La convention individuelle de forfait en jours sur l’année précise notamment :

  • la rémunération ;

  • le nombre de jours travaillés par an compris dans ce forfait, pour une période annuelle complète et un droit intégral à congés payés, dans la limite de 218 jours.

CHAPITRE 3 — NOMBRE DE JOURS TRAVAILLES COMPRIS DANS LE FORFAIT POUR UNE ANNEE COMPLETE ET UN DROIT COMPLET A CONGES PAYES

  1. La période de référence annuelle de décompte des jours travaillés s’entend du 1er janvier au 31 décembre.

  2. La comptabilisation du temps de travail des Salariés au forfait jours se fait en jours sur une période de référence annuelle de 218 jours de travail par an pour un salarié présent sur une année complète et ayant acquis la totalité de ses droits à congés payés.

  3. Ce nombre de 218 jours comprend la journée de solidarité prévue par la Loi n°2004-626 du 30 juin 2004, relative à la solidarité pour l’autonomie des personnes âgées et des personnes handicapées.

  4. Ce nombre de jours travaillés, par exception, peut être inférieur à 218 jours en cas de conclusion d’une convention individuelle de forfait en jours à temps réduit.

CHAPITRE 4 — FORFAIT A TEMPS REDUIT

  1. Il peut être conclu des conventions individuelles de forfait en jours à temps réduit :

  • Les conventions individuelles de forfait en jours à temps réduit prévoient un nombre de jours travaillés inférieurs à celles établies sur la base d’un nombre de 218 jours travaillés pour une année complète de travail et un droit intégral à congés payés.

  • Les Salariés travaillant selon une convention de forfait en jours à temps réduit sont rémunérés au prorata du nombre de jours fixés par la convention individuelle de forfait en jours à temps réduit. Leur charge de travail tient compte du nombre de jours travaillés prévus à leur forfait.

  • Le nombre de JRS attribués aux Salariés travaillant selon une convention de forfait en jours à temps réduit est calculé au prorata et est expressément déterminé dans la convention individuelle de forfait à temps réduit.

  1. L’entrée ou la sortie du dispositif en cours d’année n’est pas possible.

  • Le Salarié informe son Manager par écrit (email avec accusé de réception) de son souhait d’entrer ou de sortir du dispositif de la convention individuelle de forfait à temps réduit trois mois avant la fin de la période de référence en cours.

  • Il y est répondu au plus tard, le 1er jour de la période de référence qui suit.

CHAPITRE 5 — JOURS DE REPOS SUPPLEMENTAIRES (« JRS »)

  1. Afin de ne pas dépasser le plafond de 218 jours de travail sur l’année, les Salariés bénéficient, chaque année, de Jours de Repos Supplémentaires.

  2. Le nombre de JRS peut varier d’une année à l’autre en fonction du nombre de jours calendaires dans l’année, du nombre de jours de repos hebdomadaire, du nombre de jours fériés chômés tombant sur des jours normalement travaillés et des congés payés, étant précisé que les congés supplémentaires conventionnels et légaux (congés d’ancienneté, congés pour évènements familiaux, congé maternité, congé paternité) ainsi que les absences pour maladie ne réduisent pas le nombre de JRS.

  3. Les Salariés au forfait jours bénéficient d’un nombre de JRS calculé comme suit :

Pour 2019 :

  • 365 jours calendaires en 2018

  • 218 jours travaillés par an

  • 104 samedis et dimanches

  • 10 jours fériés chômés tombant un jour ouvré (y compris lundi de pentecôte)

  • 25 jours ouvrés de congés payés

= 8 Jours de Repos Supplémentaires

  1. Sont perdus les JRS qui ne sont pas pris du fait du Salarié au forfait jours.

  2. Conformément aux articles L. 3121-59 et L. 3121-66 du Code du travail, les Salariés au forfait jours pourront renoncer à une partie de leur JRS par la Société (à l'exclusion des congés payés), le taux de la majoration de salaire applicable étant de 10%. En cas de renonciation des salariés à une partie de leur JRS, le nombre maximum de jours travaillés sur l'année peut alors atteindre 235 jours dans l'année. Dans ce cas, la majoration de salaire est déterminée dans un avenant au contrat de travail. Cet avenant est conclu pour une durée d'un an et n'est pas être reconduit de manière tacite.

CHAPITRE 6 — REMUNERATION

  1. La rémunération forfaitaire versée mensuellement au Salarié compte tenu de ses fonctions est indépendante du nombre d’heures de travail effectif accomplies durant la période de paie considérée.

CHAPITRE 7 – INCIDENCES DES ABSENCES SUR LA REMUNERATION

  1. Les absences d’un ou plusieurs jours, si elles n’ouvrent pas droit à un maintien intégral du salaire, peuvent donner lieu à une retenue proportionnelle sur la paie du mois considéré.

CHAPITRE 8 – INCIDENCES DES ARRIVEES ET DES DEPARTS AU COURS DE LA PERIODE DE REFERENCE

  1. Pour les besoins du présent Accord, les Parties rappellent que les Salariés au forfait jours pourront bénéficier des dispositions issues de l’article L. 3141-12 du Code du travail, tel que modifié par la loi n°2016 du 8 août 2016, lequel prévoit la possibilité pour les salariés de prendre leurs congés payés dès l’embauche, sans devoir attendre le terme de la période d’acquisition des congés fixés au 31 mai.

  2. En cas de départ du salarié au cours de la période de référence, il sera procédé, dans le cadre du solde de tout compte, à une régularisation, en comparant le nombre de jours réellement travaillés ou assimilés avec ceux qui sont payés. Si le compte du salarié est créditeur, une retenue, correspondant au trop-perçu, pourra être effectuée sur la dernière paie dans les limites autorisées par le Code du travail. Le solde devra être remboursé mensuellement par le salarié. Si le compte du salarié est débiteur, un rappel de salaire lui sera versé.

CHAPITRE 9 —DROIT AU REPOS

  1. Les Salariés au forfait jours ne sont pas soumis aux dispositions légales relatives à :

  • la durée légale du travail de 35 heures ;

  • la durée quotidienne de travail de 10 heures au maximum ; et

  • aux durées hebdomadaires maximales de travail.

  1. Ils bénéficient :

  • d’un repos quotidien d’une durée minimale de 11 heures consécutives ; et

  • d’un repos hebdomadaire de 35 heures consécutives (comprenant les 11 heures de repos quotidien) ainsi que

  • les pauses quotidiennes.

  1. Il est rappelé que ces dispositions n’ont pas pour objet de définir une journée habituelle de travail de 13 heures par jour mais une amplitude exceptionnelle de la journée de travail.

  2. En outre, aucun salarié ne doit travailler plus de six jours par semaine, sauf dérogations dans les conditions légales. Il est ainsi rappelé que le dimanche est un jour non travaillé.

CHAPITRE 10 — DROIT A LA DECONNEXION

  1. Les Parties rappellent que l’utilisation des NTIC mises à la disposition des Salariés au forfait jours doit respecter la vie personnelle de chacun.

  2. Les Salariés au forfait jours bénéficient ainsi d’un droit à la déconnexion les soirs, les week-ends et jours fériés ainsi que pendant les congés et l’ensemble des périodes de suspension du contrat de travail (maladie, par exemple) (ci-après les « périodes de déconnexion »).

  3. En pratique, le droit à la déconnexion signifie que :

  • En principe, les Salariés au forfait jours n’ont pas l’obligation de se connecter à leur ordinateur professionnel, de lire ou de répondre aux emails et appels téléphoniques qui leur sont adressés pendant les périodes de déconnexion.

  • A titre exceptionnel, il peut être dérogé à ce principe en raison de la gravité, l’urgence et/ou l’importance du sujet traité.

CHAPITRE 11 — EVALUATION ET SUIVI DE LA CHARGE DE TRAVAIL

  1. Décompte des journées de repos et de congés

  • La Société a mis en place un système auto-déclaratif grâce auquel les Salariés au forfait jours déclarent leurs jours travaillés et leurs jours non travaillés (congés, JRS, etc.)

  • Le système auto-déclaratif est renseigné chaque mois par les Salariés au forfait jours. Le Salarié y indique s’il a bénéficié de ses temps de repos quotidien et hebdomadaire. Il peut porter tout commentaire qu’il juge utile. Le relevé auto-déclaratif est contresigné par le Manager chaque mois en tenant compte des remarques formulées par le Salarié.

  • Chaque année, les Managers et les Salariés au forfait jours effectuent un bilan individuel du nombre de jours travaillés et du nombre de jours non travaillés (congés, JRS) au titre de l’année précédente sur la base du système auto-déclaratif. Le Manager s’assure du respect du nombre de jours de travail prévus au forfait et du respect du repos quotidien et hebdomadaire.

  1. Entretien :

  • Les Salariés au forfait jours bénéficieront également d’au moins un entretien individuel chaque année avec leur Manager, ou toute autre personne qualifiée, à l’occasion duquel seront discutés notamment la charge de travail, l’amplitude des journées de travail, l’organisation du travail et l’articulation entre l’activité professionnelle et la vie personnelle et familiale.

  • Cet entretien devra permettre à l’employeur de contrôler que l’amplitude et la charge de travail restent raisonnables et qu’elles assurent une bonne répartition du travail.

  • En cas de difficulté inhabituelle, un entretien individuel spécifique pourrait être organisé.

  1. Alerte et droit au repos :

  • Les Salariés au forfait jours s’engagent à respecter, en toutes circonstances, le repos minimal quotidien de 11 heures consécutives et le repos hebdomadaire de 35 heures consécutives (24h + 11h).

  • Dans l'hypothèse où les Salariés au forfait jours se trouveraient dans l'impossibilité d'assurer leur charge de travail dans le respect des repos quotidien et hebdomadaire, ils en informeraient immédiatement leur employeur par email, qui prendrait en retour les mesures qu’il estime nécessaires.

CHAPITRE 12 — DISPOSITIONS FINALES

  1. Durée de l'Accord

  • Le présent Accord est conclu pour une durée indéterminée. Il pourra être dénoncé dans les conditions prévues ci-dessous. Il entrera en vigueur le 1er janvier 2019.

  1. Suivi de l'Accord et Clause de rendez-vous

  • Le suivi de l’application du présent Avenant sera assuré par les Signataires de l'Accord au plus tard dans les 4 ans de sa signature pour faire le point sur son application et s’interroger sur l’opportunité d’une éventuelle révision.

  1. Adhésion à l'Accord

  • L'adhésion produira effet à partir du jour qui suivra celui de son dépôt au secrétariat-greffe du conseil de prud'hommes compétent et à la Direction régionale des entreprises, de la concurrence, de la consommation, du travail et de l'emploi (DIRECCTE).

  • Notification devra également en être faite, dans le délai de huit jours, par lettre recommandée, aux Parties signataires.

  1. Interprétation de l'Accord

  • Les représentants de chacune des Parties signataires conviennent de se rencontrer à la requête de la Partie la plus diligente, dans les 30 jours suivant la demande pour étudier et tenter de régler tout différend d'ordre individuel ou collectif né de l'application du présent Avenant.

  • Jusqu'à l'expiration de ces délais, les Parties contractantes s'engagent à ne susciter aucune forme d'action contentieuse liée au différend faisant l'objet de cette procédure.

  1. Révision et dénonciation de l'Accord

  • Le présent Accord pourra être révisé ou dénoncé dans les conditions prévues aux articles L. 2232-22 et L. 2232-22-1 du Code du travail.

  1. Conditions de validité

  • Le présent Accord a été ratifié par le personnel à la majorité des deux tiers lors d'un référendum à bulletin secret qui s'est tenu le 5 décembre 2018.

  1. Dépôt légal et publication

  • Le présent Accord sera déposé en deux exemplaires dont une version sur support papier signée des Parties et une version sur support électronique auprès de la DIRECCTE. En outre, un exemplaire sera également remis au greffe du conseil de prud'hommes.

  • Le présent Accord sera déposé sur la plateforme de télé-procédure du Ministère du travail (https://www.teleaccords.travail-emploi.gouv.fr/PortailTeleprocedures/).

  • La Société a pris toutes les dispositions permettant d'assurer l'information du personnel.

COMPANY-WIDE AGREEMENT ON THE 218-DAY PER YEAR WORKING TIME SCHEME AGREEMENT

Represented by________________, acting in the capacity of CEO/General Director, duly authorized for the purpose thereof,

Hereinafter referred to as " Society" or "Arvella Investments",

On the one hand,

AND

The Employees, being consulted by means of a referendum by a majority of two thirds of the votes, the minutes being appended to this Agreement,

Hereinafter referred to as " Employees"

TOGETHER THE "PARTIES" OR SEPARATELY THE "PARTY"

Preamble :

  1. Since the ordinance n°2017-1385 of the 22th September of 2017, so-called "Macron Ordinance", the employer is entitled to propose directly to the employees a draft agreement in firms of less than 11 employees (Articles L. 2232-21 and seq. of the French Labour Code).

  2. The draft agreement must be approved by all staff by a majority of two thirds of the votes through consultation. It can address all the matters covered by the company collective bargaining.

  3. In this context, the Company has organized, without the personal and secrecy of the ballot being in any way violated, a consultation, aimed at introducing a company-wide agreement on the 218-day-per-year working time scheme for the Employees that enjoy a genuine autonomy in their agenda (hereafter the "Agreement")

  4. In accordance with Article R2232-12 of the French Labour Code, the Employees were given 15 days prior to the consultation to get acquainted with the draft agreement and its organizational arrangements. During this consultation, the Employees replied to the following question : " Do you approve the draft agreement on the 218-day-per-year working time scheme?"

  5. During the consultation, the Employees approved by a majority of two thirds of the votes the draft agreement, that determines the key features of the 218-day-per year working time scheme, in accordance with Article L. 3121-64 of the French Labour code and that guarantees the protection of health and safety of the Employees, in accordance with jurisprudential requirements.

IT HAS BEEN AGREED AS FOLLOWS :

CHAPTER 1 - CATEGORY OF CONCERNED EMPLOYEES

  1. The 218-day-per-year working time scheme affect the Employees covered by Article L. 3121-58 of the French Labour code.

  2. It applies more specifically to (hereafter the "Employees whose working time is determined on the basis of days rather than hours")

  • Managers that enjoy a genuine autonomy in their agenda and whose functions do not lead them to take the collective schedule applicable in the workshop, in the department or within the team to which they are assigned;

  • Employees that are not managers whose number of working hours cannot be predetermine and that enjoy a genuine autonomy in their agenda to carry out the responsibilities assigned to them.

  1. When signing this Agreement, the jobs that are eligible to a 218-day-per-year working time scheme are, amongst others : Investment Associate, Investment Professional, being specified that this list is not exhaustive and could be extended to any other category of Employees of the Company that already exists or that would be created and would meet the autonomy criteria.

  2. The autonomy that enjoy the "Employees whose working time is determined on the basis of days rather than hours" does not discharge them from compliance with the relationship of subordination inherent in the working relationship so that they cannot be fully independent on their Employer. In practive, this means that:

  • the Employees whose working time is determined on the basis of days rather than hours may be imposed; for instance, a time of arrival in the morning for a business meeting

  • More generally, the Employees whose working time is determined on the basis of days rather than hours must, under any circumstances, adopt a pace and progress of work compatible with the correct operation of the service.

CHAPTER 2 - CHARACTERISTICS OF THE 218-DAY-PER-YEAR WORKING TIME SCHEME

  1. The conclusion of a 218-day-per-year working time scheme requires the approval of the Employee necessarily covered by a written agreement signed by the Parties.

  2. This agreement takes the form of a clause in the initial employment contract or a contract amendment.

  3. The 218-day-per-year working time scheme specifies, in particular :

  • the remuneration;

  • the number of worked days per year included in a complete year and the full right to paid annual leave, to a limit of 218 days.

CHAPTER 3 - NUMBER OF WORKED DAYS INCLUDED IN THE 218-DAY-PER-YEAR FOR A COMPLETE YEAR AND A FULL RIGHT TO PAID ANNUAL LEAVE

  1. The current annual reference period to count the worked days covers the period from the 1st of January to the 31st of December.

  2. The accounting of time worked for the Employees whose working time is determined on the basis of days rather than hours records days over a 218 days annual reference period for an Employee working a full-year and having the full right to paid annual leave.

  3. The number of 218 days includes the National day of solidarity scheduled by the Law of 30th June 2004 n°2004-626, relating to the solidarity to promote autonomy for the elderly and the disabled.

  4. The number of worked days, by way of exception, shall be less than 218 days in case of a conclusion of a reduced working time scheme agreement.

CHAPTER 4 - REDUCED WORKING TIME SCHEME AGREEMENT

  1. It can be concluded a reduced working time scheme agreement:

  • The reduced working time scheme agreements provide a number of worked days lower than the working time scheme agreements based on a number of 218 worked days for a complete year of work and a full right to paid annual leave.

  • The Employees that benefit from a reduced working time scheme agreement are paid on a pro rata basis taking into account the number of days specified in the agreement. The workload takes into account the number of worked days mentioned in the agreement.

  1. The number of ARD granted to Employees that benefit from a reduced working time scheme agreement is based on a pro rata basis and is expressly stated in the reduced working time scheme agreement.

  2. Inputting or outputting the reduced working time scheme agreement during the course of the year is not allowed.

  • The Employee provides his/her Manager a written notice (e-mail with acknowledgement of receipt) letting him know that he/she wishes to input or output the reduced working time scheme agreement at least three months before the end of the ongoing annual reference period.

  • The Employee is being replied at the latest, the 1st day of the following annual reference period.

CHAPTER 5 - ADDITIONAL REST DAYS ("ARD")

  1. In order to stay within the ceiling of 218 worked days a year, the Employees benefit from, each year, Additional Rest Days.

  2. The number of ARD can vary from year to year depending on the number of calendar days in a year, on the number of weekly rest days, on the number of paid public holidays falling on usually working days and on paid leave; it being specified that the additional legal and leave days provided by the applicable CBA (senirity leave, family-related leave, maternity leave, paternity leave) and absence through illness do not reduce the number of ARD.

  3. The Employees whose working time is determined on the basis of days rather than hours are entitled to a number of ARD calculated as follow :

For 2019 :

  • 365 calendar days in 2018

  • 218 working days a year

  • 104 saturdays and sundays

  • 10 public paid holidays that occur on a business day (Whit Monday included)

  • 25 paid leave days that occur on a business day

= 8 Additional Rest Days

  1. Are wasted the ARD that the Employee whose working time is determined on the basis of days rather than hours does not take.

  2. In accordance with Articles L. 3121-59 and L. 3121-66 of the French Labor Code the Employees whose working time is determined on the basis of days rather than hours may have their RTT days “bought back” by the Company (excluding paid leave) in consideration of a minimum 10% salary increase. The maximum number of days worked over the year may then reach up to 235 days per year. In that case, the salary increase paid to the employee must be set forth by a separate rider to the fixed 218-days-per-year working time scheme. The rider may be entered into for a one-year period and may not be renewed by tacit agreement.

CHAPTER 6 - REMUNERATION

  1. The flat-rate fee paid is paid monthly to the Employee taking into account his/her duties and is independent from the number of effective working hours accomplished during the pay period considered.

CHAPTER 7 - IMPACTS OF ABSENCES ON REMUNERATION

  1. One-day or several-day absences, if they do not give entitlement to full salary, may result in a proportional salary deduction in considered month.

CHAPTER 8 - IMPACTS OF ARRIVALS AND LEAVINGS DURING THE REFERENCE PERIOD

  1. For the Agreement purposes, the Parties recall that the Employees whose working time is determined on the basis of days rather than hours shall benefit from the provisions of the Article L. 3141-12 of French Labour code, as amended by the Law of 8th August 2016 n°2016, which provides the possibility for the Employees to take their leave upon starting work, without having to wait the expiry of the vacation acquisition period set out on the 31st of May.

  2. In case of the departure of an Employee during the reference period, it will be carried out, within the framework of final statement, to the necessary adjustments by comparing the number of actual working days and assimilated with those that are paid. If the Employee's account has credit left paid, a holdback, representing the overpayment, may be made on the last pay within the limits prescribed by the French Labour Code. The balance will be repaid by the Employee monthly. If the Employee's account is in debit, a back pay will be paid.

CHAPTER 9 - RIGHT TO REST

  1. The Employees whose working time is determined on the basis of days rather than hours are not subject to legal provisions relating to :

  • The statutory working time of 35-hour workweek ;

  • The maximum daily working time of 10 hours a day; and

  • The maximum weekly working hours.

  1. They benefit from :

  • A minimum daily rest period of 11 consecutive hours; and

  • A minimum weekly rest period of 35 consecutive hours (including the daily rest of 11 hours) as well as the daily rest periods.

  • Daily rest periods.

  1. It is recalled that these provisions do not intend to define a regular 13-hour work day but an exceptional spread-over work day.

  2. Moreover, no Employee shall work more than six days a week, except for any dispensation provided by law. Thus, it is recalled that Sunday is a non-working day.

CHAPTER 10 - RIGHT TO DISCONNECT

  1. The Parties recall that the use of NICTs which are made available to Employees whose working time is determined on the basis of days rather than hours must respect one's personal life.

  2. The Employees whose working time is determined on the basis of days rather than hours benefit from a right to disconnect during evenings, weekends and public holidays as well as during leave periods and suspension of employment contract periods (illness for instance) (hereafter the "disconnection periods")

  3. In practice, the right to disconnect means that :

  • In principle, the Employees whose working time is determined on the basis of days rather than hours do not have to log into their personal computer, to read or to reply emails an phone calls addressed to them during the disconnection periods

  • Exceptionally, an exception the principle can be accepted due to the seriousness, the emergency and/or the importance of the subject-matter dealt with.

CHAPTER 11 - ASSESSMENT AND MONITORING OF THE WORKLOAD

  1. Counting of rest days and leave periods

  • The Company has implemented an auto-declaratory system thanks to which the Employees whose working time is determined on the basis of days rather than hours declare their working days and their non-work days (leave periods, ADR etc)

  • The auto-declaratory system is completed monthly by the Employees whose working time is determined on the basis of days rather than hours. The Employee indicates if he/she has beneficiated from his daily and weekly rest periods. He can comment on whatever he/she believes It would be helpful. The auto-declaratory statement is countersigned by the Manager every month on the basis of the observations made by the Employee.

  • Every year, the Managers and the Employees whose working time is determined on the basis of days rather than hours make an individual assessment of the number of working days and the number of non-work days (leave periods, ADR etc) in the previous year on the basis of the auto-declaratory system. The Manager ensures compliance with the number of working days provided for the agreement and compliance with the daily and weekly rest periods

  1. Interview :

  • The Employees whose working time is determined on the basis of days rather than hours will have at least an individual interview every year with their Manager, or any other qualified person, where will be discussed the workload, length of working time, work organization and relationship between working life and family life.

  • This interview shall enable the Employer to control that the length of working time and workload are reasonable and ensure a good work distribution.

  • In case of unusual difficulties, a specific individual meeting could be organized.

  1. Alert and right to rest

  • The Employees whose working time is determined on the basis of days rather than hours commit themselves to adhere, under any circumstances, to the minimum daily rest period of 11 consecutive hours; and the minimum weekly rest period of 35 consecutive hours (24+11h).

  • Assuming that the Employees whose working time is determined on the basis of days rather than hours are unable to both face the workload and to benefit from the daily and weekly rest periods, they would immediately inform the Employer in writing (through email) that would take appropriate measures accordingly.

CHAPTER 12 - FINAL PROVISIONS

  1. Duration of the Agreement

    This Agreement is concluded for an undetermined period. It may be denounced under the conditions laid down below. It will enter into force on 1st January 2019.

  2. Following up on the agreement and rendez vous clause

    The follow-up on the application of this Agreement will be undertaken by the Signatories at the latest within a 4-year period as from the signature of the Agreement to consider whether a revision might be appropriate.

  3. Accession to the agreement

    In accordance with Article L. 2261-3 of the French labour code, any representative trade union in the company which is not signatory of the Agreement may be entitled to accede to the Agreement. The accession shall become effective from the day following its filing at the Office of the Clerk of the Labour Court and at the DIRECCTE. This notification shall be made as well, within 8 days, by registered letter, to the Parties

  4. Interpretation of the Agreement

    The Parties agree to meet at the shortest notice request of the party within 30 days following the request intending to settle any individual and collective dispute related to the application of the Agreement. Until the expiration of the deadline, the signatory Parties agree to not engage in litigation related to the dispute in any way.

  5. Revision and denunciation of the Agreement

The Agreement may be reviewed or denounced in accordance with Articles L. 2232-22 and L. 2232-22-1 of the French Labour Code.

  1. Condition of validity

This Agreement was ratified by a majority of two thirds of the staff members during a referendum held on the 5th December 2018.

  1. Publication

The Agreement will be filed on the tele-procedure platform released by the Ministry of Labour (https://www.teleaccords.travail-emploi.gouv.fr/PortailTeleprocedures/)

The agreement will be filed with the Regional Directorate for Companies, Fair Trading, Consumer Affairs, Labor and Employment (Direction Régionale des Entreprises, de la Concurrence, de la Consommation, du Travail et de l’Emploi - DIRECCTE) in duplicate (both electronically and in writing and with the Employment Tribunal (Conseil de prud’hommes), together with the record of the referendum results.

The Company has taken all appropriate steps in order to inform the Employees of this Agreement.
